Terms of Service

These Terms of Service ("Terms") govern access to and use of Projexa (app.getprojexa.com), provided by Mufaddal Maimoon, trading as Projexa (a sole trader, no company number), of Rutland House, 23-25 Friar Lane, Leicester, LE1 5QQ ("Projexa", "we", "us"). By creating an account or otherwise using the Service, you ("Customer", "you") agree to these Terms.
If you're using Projexa on behalf of an organisation, you confirm you have authority to bind that organisation, and "you" means that organisation.
1. The Service
Projexa is a project management platform for professional-services firms (engineering, architecture, surveying, and similar), covering project/client management, budgeting, deliverables, time tracking, team roles/permissions, and an optional client portal.
2. Accounts
- Signup may require an access code or an invitation from an existing account admin. You're responsible for the accuracy of information you provide and for activity under your account.
- You're responsible for keeping login credentials confidential and for your team's compliance with these Terms.
- You must be legally able to enter a binding contract to create an account.
3. Data ownership and the DPA
You own your data. Projexa is the Data Processor for the personal and business data you or your team enter into the Service; you remain the Data Controller. Our respective obligations regarding that data are set out in our Data Processing Addendum, which is incorporated into these Terms by reference and applies automatically — no separate signature is required unless you request one.
4. Client Portal
If you invite your own clients to use the Projexa client portal, you are responsible for having a lawful basis to share their data with us for that purpose, and for their conduct when using the portal under your account's scope. Portal access is limited to project progress information and documents you explicitly choose to issue — Projexa never shows portal users financial figures.
5. Acceptable use
You agree not to:
- Use the Service for anything unlawful, or to store/transmit data you don't have the right to process;
- Attempt to bypass access controls, security measures, or rate limits;
- Reverse-engineer, resell, or white-label the Service without our written consent;
- Upload malicious code or attempt to disrupt the Service for other Customers (Projexa is multi-tenant — your actions must not affect other Customers' data or availability).
6. Subscriptions and fees
[To be completed once billing (Stripe) is live — plan tiers, billing cycle, trial terms, refund policy, what happens on non-payment.] Until paid plans launch, this section doesn't yet apply.
7. Availability
We aim for high availability but do not guarantee uninterrupted access. We'll give reasonable notice of planned maintenance where practical. We do not currently commit to a specific uptime SLA or service credits; we may introduce one once paid plans launch (see Section 6).
8. Suspension and termination
- You may stop using the Service and close your account at any time; contact us to request full account/company deletion (see the Privacy Policy for what "deletion" means in practice).
- We may suspend or terminate accounts that materially breach these Terms, pose a security risk, or where required by law, with notice where reasonably possible.
- On termination, you may export your data for 30 days before it is permanently deleted, consistent with the Data Processing Addendum.
9. Intellectual property
Projexa and its underlying software, design, and branding are our property (or our licensors'). These Terms don't transfer any IP rights to you beyond the right to use the Service as intended. You retain all rights to the data you input.
10. Confidentiality
Each party will protect the other's confidential information (including Customer data) with reasonable care and use it only to perform under these Terms.
11. Warranties and liability
The Service is provided "as is" to the extent permitted by law. Nothing in these Terms limits liability for death, personal injury caused by negligence, fraud, or anything else that cannot be excluded by law. Subject to that, our total liability arising out of these Terms is limited to the fees you paid us in the 12 months before the claim, and we exclude liability for indirect or consequential losses. [This clause needs a solicitor's sign-off — liability caps are one of the highest-risk sections to get wrong.]
12. Governing law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, unless you're a consumer resident elsewhere with mandatory local protections.
13. Changes
We may update these Terms; we'll notify Customers of material changes by email or in-app notice before they take effect.
